We are seeking a Corporate Attorney who will provide general legal guidance on a broad variety of corporate and compliance matters including regulatory, employment, corporate governance, contracts, and private equity transactions.
As a Corporate Attorney, you will be responsible for negotiating and drafting documents and advising clients on business matters. Well-qualified candidates will have experience as first or second chair on mergers, acquisitions, and private equity and venture capital. The ideal candidate will be intellectually curious with highly developed organizational, communication, and time-management skills, as well as the ability to react quickly to changes as priorities are revised or reshaped in a fast-moving environment. The candidate will need to have a developed book of business which is expected to transfer with the attorney.

As a member of our corporate practice group, you will:
- Conduct legal research and analysis on various corporate issues
- Provide legal advice and guidance on corporate governance, contracts, compliance, and other legal matters
- Draft and review legal documents, including contracts, agreements, and policies
- Represent the firm in negotiations and other legal proceedings
- Collaborate with internal stakeholders to ensure compliance with applicable laws and regulations
- Remain updated on changes in laws and regulations that may impact the firm's operations
- Assist in the development and implementation of corporate policies and procedures
- Provide counsel on legislative and regulatory matters
- Prepare, review, and negotiate a variety of complex agreements
- Mange the administration of mergers, acquisitions, divestitures, and similar transactions from the planning stages through integration
- Provide guidance, mentorship and training to associates withing the corporate practice group, including delegating work and supporting professional development
- Collaborate with other attorneys, paralegals, and corporate professionals to achieve clients’ and firm objectives
- Actively participate in marketing and business development opportunities, including leadership in legal industry groups and community organizations, and engagement in networking events, speaking engagements, and conferences
The following is a list of some of the important things we would like to see in a candidate:
- An outstanding academic record with a JD from a highly regarded accredited law school
- Member in good standing with the Florida Bar
- Five-plus (5+) years’ experience as a Corporate Attorney or in a similar role, with transactional experience in a corporate or in-house capacity
- Proven experience negotiating contracts and agreements, with excellent negotiation skills
- Excellent legal research skills, including proficiency with Westlaw and/or LexisNexis
- Excellent legal drafting skills with attention to detail
- Clear, concise verbal and written communication skills, with the ability to explain complex legal concepts to non-legal stakeholders
- Strong interpersonal skills, with the ability to communicate effectively throughout the organization as well as external counsel
- Highly organized, detail-oriented, and capable of managing multiple projects involving diverse stakeholders
- Demonstrates initiative, resourcefulness, and a focused, proactive approach to work
- Strong knowledge of corporate law principles, regulations, and best practices
Education and Experience:
- Juris Doctor (JD) degree from a highly regarded accredited law school
- Member in good standing with the Florida Bar
- Five-plus (5+) years of experience as a Corporate Attorney or in a similar role
